All services are delivered according to the scope of work or proposal agreed upon in writing prior to the start of any project.

Client Responsibilities

Clients agree to provide accurate and timely information necessary for project completion. O’Shea Consulting Services is not responsible for delays or errors resulting from incomplete or inaccurate client data. Clients must ensure they have the authority to share any confidential or proprietary materials used during an engagement.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or nonpublic information shared during the course of a project. Confidential information will not be disclosed to any third party without prior written consent unless required by law. O’Shea Consulting Services may reference project scope or results in general terms for marketing purposes only after receiving client approval.

Payment Terms

All fees and billing terms are specified in the written agreement or proposal. Retainers are invoiced at the beginning of each month, and project-based work may require partial payment upfront. Invoices are due within thirty days unless otherwise stated. Late payments may result in delayed delivery or additional fees.

Cancellation and Termination

Either party may terminate the agreement with written notice according to the terms stated in the service proposal. In the event of termination, the client is responsible for payment of all completed work and any committed project expenses up to the date of termination.

Intellectual Property

All documents, workflows, templates, and training materials created by O’Shea Consulting Services remain the intellectual property of O’Shea Consulting Services unless otherwise stated in writing. Clients receive a license to use deliverables internally for their organization’s operations. Redistribution or resale of deliverables is not permitted.

Limitation of Liability

O’Shea Consulting Services will not be liable for indirect, incidental, or consequential damages arising out of the use or inability to use any service or deliverable. The maximum liability shall not exceed the total amount paid by the client under the applicable agreement.

Accuracy of Information

While every effort is made to ensure accuracy and reliability, O’Shea Consulting Services provides consulting based on professional judgment and current regulations. Clients are responsible for verifying compliance requirements applicable to their own organizations.
